Cool Russia's Avtovaz valued at $2.4 bln before issue

MOSCOW, Aug 1 (Reuters) - Avtovaz shareholders have valued Russia's biggest carmaker at $2.4 billion (74.4 billion roubles) before its additional share issue planned for the end of this year, a company shareholder told Reuters.

The shareholder declined to be identified.

This valuation puts the troubled manufacturer of Lada cars roughly 3.5 times higher than its current market price. At Friday's close of the MICEX exchange, Avtovaz was worth 21.02 billion roubles ($695.1 million).

France's Renault, which with its alliance partner Nissan makes up the world's fourth-biggest carmaker, has said it signed a restructuring accord for Avtovaz, which nearly went bust in last year's industry crisis.

Renault will pump 240 million euros ($313.2 million) into Avtovaz and keep its stake above 25 percent for at least two years, cementing its commitment to the volatile Russian market.

Russian state conglomerate Russian Technologies has said it will increase its stake in Avtovaz to 36.5 percent via the purchase of 730 million euros of new shares. Moscow investment bank Troika Gialog will retain a 25 percent stake.

Avtovaz shareholders are expected to approve the first additional share issue worth 17.5 billion -- to take place this year -- at a meeting set for Sept. 9.

In a second stage planned for 2011-12, shareholders want to issue an additional 19.3 billion worth of shares.

EMFIS.COM - Moskau 02.08.2010 (www.emfis.com) Wegen der in Russland vorherrschenden Rekordhitze setzte der russische Autobauer Avto Vaz die Produktion für vorerst eine Woche aus. Für heute rechnet der russische Wetterdienst mit einem Temperaturanstieg auf über 45 Grad. Da russische Firmen normalerweise eher mit massiven Kälteeinbrüchen zu kämpfen haben, sind die meisten Konzerne auf eine derartige Hitzewelle nicht vorbereitet. Innerhalb der Fabrikhallen kann die durchschnittliche Temperatur zum Teil gute 10 Grad mehr als außerhalb betragen. Eine Vielzahl an russischen Unternehmen hat bei Anhalten der Hitzewelle, Produktionsstilllegungen angekündigt um die Gesundheit der Arbeitnehmer zu schonen. AwtoWAS (zu deutsch Wolga-Automobil-Werk, bekannt auch unter der Transliteration AvtoVAZ) ist der größte Hersteller von Personenkraftwagen in Russland und Osteuropa. AwtoWAS ist eine im RTS Index aufgeführte Aktiengesellschaft.
Die Wagen von AwtoWAS werden unter dem Markennamen Lada verkauft. Dieser Name war lange Zeit lediglich für den Export nach Westeuropa gebräuchlich. Der Markenname für den RGW-Markt war zur Einführung der Modellreihe WAS-2107 Schiguli.
Der Konzern hat einen Anteil von ca. 1% am Bruttosozialprodukt Russlands. Das Hauptwerk befindet sich in Togliatti in der Oblast Samara, am Mittellauf der Wolga. Ladas werden unter Lizenz in der Ukraine, in Kasachstan, in Ägypten, in Ecuador und in Uruguay gefertigt.

MOSCOW, Aug. 3 (Reuters) - Russia's biggest automaker, AvtoVAZ, said on Tuesday its car sales grew 60 percent in July, year-on-year, benefiting from the state-sponsored scrappage scheme and continued economic recovery.

Almost half of the 51,800 vehicles sold in July were part of the cash-for-clunkers programme.

The scheme awards 50,000 roubles ($1,656) to car owners willing to trade in 10-year-old locally produced vehicles for new models.

In the first seven months of 2010, AvtoVAZ sold 272,600 autos, an increase of 28.4 percent on the year ago period.

Reden Avtovaz H1 2010 RAS revenue up by 46pct YoY

Tuesday, 17 Aug 2010RIA Novosti reported that revenue of Russia largest car producer, AvtoVAZ rose 46%YoY to Russian Accounting Standards to RUB 58.762 billion in the first six months of 2010.

AvtoVAZ said in a statement that "A major influence on the improvement of this indicator was the increase in car sales revenue by 44.22%, as the share of this kind of activity amounts to 81.56% of the entire revenue volume."

Revenue from core activities, car production and sales, grew 43.16% in the reporting period, following a sales volume increase due to the implementation of a government cash for clunkers program launched in March 2010.

AvtoVAZ gross profit amounted to RUB 1.365 billion in the first six months of 2010 after RUB 1.761 billion in the first six months of 2009. Sales loss fell by 450% to RUB 664 million. January to June 2010 sales grew by 23% to 220,700 cars.

The company said that its net loss plummeted 2,200% to RUB 612 million in the first six months of 2010 YoY. In the second quarter of 2010, the company received a net profit of RUB 1.97 billion after a RUB 2.58 billion loss in the first quarter.

It said in the statement that "Net profit changes mainly follow gross profit rates and are due to the same factors. As net profit increased, capital and assets margins rose respectively."

Nach den Hinweisen von Hasi könnte der Kurs bald bei 4 - 6 € landen. Es ging wohl um eine Kapitalspritze der Hauptanteilseigner in Höhe des dreifachen Wertes der derzeitigen Aktiennotierung.

Based on the stated parameters of AvtoVAZ’s additional share issue, it is to be floated on favorable terms for the minority shareholders: the target placement price is nearly 3x higher than the current market price, which could act as a speculative driver for company shares. Plans to trigger an option program could also have a positive impact on AvtoVAZ stock valuations.

On July 15, AvtoVAZ (RTS: AVAZ) shareholders signed an agreement concerning an increase in the auto-maker’s share capital over the coming few years. In the first phase (November 2010 – November 2011), Renault should contribute about EUR 114 mn to the plant’s share capital in the form of technology and equipment, while a portion of AvtoVAZ’s debt to Russian Technologies, worth EUR 330 mn, is to be converted to the auto-maker’s shares. We note that Renault’s interest in AvtoVAZ will stay the same as a result (25%), at a time when Russian Technologies will get control of 29% of the share capital, or 36% of common stock. In the second phase (December 2012 – December 2016), AvtoVAZ should receive more technology and know-how from Renault worth EUR 126 mn and convert another EUR 400 mn of debt to Russian Technologies into equities. In addition, shareholders plan to buy back shares with a view to arrange for an option program for company management.

In line with our estimates, based on the stated volume of Renault’s contributions to the company and the projected size of Russian Technologies’ interest after the first phase, the placement price for AvtoVAZ additional share issue could be set at EUR 1.12, or RUB 44 per share. Therefore, the additional issue is to be held on favorable terms for AvtoVAZ minority holders, as the placement price promises to be 3.1x higher that the current market price of RUB 14. This news could act as a speculative upside driver for AvtoVAZ stock.
Another potential upside driver is the possible launch of an option program, as in order to implement it, the company will have to buy back shares from the market.

August sales by Avtovaz have showed a downturn m-o-m, blamed on the stoppage of the production line for a week due to abnormally hot weather. On an annual basis, the monthly sales were up, with growth attributed to implementation of a clunker-for-cash program.

On September 2, Avtovaz reported its sales in 8M2010. The company sold 317,700 automobiles over the period, up 31.6% y-o-y, with 115,400 cars sold under the old car utilization program. In August, Avtovaz distributed 45,100 cars, against 29,100 in the same month a year earlier.

We put the main emphasis on the analysis of sales data for the past month, as this information is new for the market. We estimate August sales by Avtovaz as moderately positive. On one hand, sales on the domestic market shot up by an estimated 55% y-o-y, while dropping 13% m-o-m, as the carmaker had to halt its production line for a week in the fallout from an unprecedented heat wave in European Russia. Net of the cars sold under the clunker-for-cash program, 8M2010 sales by Avtovaz on the domestic market declined 16.2% y-o-y.

Our target price for one common share in Avtovaz is USD 0.31, with a downside potential of 60% and a SELL rating. Our target price for one Avtovaz pref is USD 0.12, which implies a downside potential of 35% and corresponds to a SELL rating.

Car Import Tariff Hikes Planned

The government will increase import duties on foreign cars to encourage investment in local manufacturing plants and boost domestic players, Prime Minister Vladimir Putin told state news channel Vesti-24 on Monday.

Speaking from behind the wheel of a locally produced yellow Lada Kalina Sport, Putin said he wanted technologically advanced overseas producers to work alongside Russian groups like Lada maker AvtoVAZ.

"Here's a timeline: In some years, we will gradually begin to raise the customs tariffs. … But we do not want to undermine your [foreign carmakers'] business in Russia — come to us and deploy production here," he said, while driving a leg of a 2,000-kilometer journey to Chita near the Chinese border.

"We're not, after all, WTO members, so we can afford to do it," he said, referring to the country's on-and-off bid to join the World Trade Organization.

Russia has increased import duties on new vehicles to 25 percent from 20 percent since early 2009 as it seeks to support local players, many of whom were forced to the brink of collapse by last year's financial and economic crisis.

Industry leader AvtoVAZ had to be bailed out by the state to avoid bankruptcy last year, but it has since lead a market recovery alongside France's Renault, which owns 25 percent in the company.

Germany's Daimler and Italy's Fiat have also entered the Russian market as partners to KamAZ and Sollers, respectively, while a string of others have opened or expanded manufacturing plants.

"We want you to gradually transfer technology skills, increase productivity … and the level of technical training for our specialists," Putin said, addressing foreign players. "And for our part, we will do our best to ensure a successful launch of your business."

The Industry and Trade Ministry has proposed extending discounts on car assembly plants that produce more than 300,000 foreign-branded vehicles per year, provided that at least 60 percent of the parts are locally made by the sixth year of operations, Vedomosti reported Monday.

Russia has already adopted a series of initiatives to boost local car and truck sales since the crisis, most notably a state-sponsored scrap program that rewards drivers of decade-old cars looking to trade in for newer models.

AvtoVAZ chief executive Igor Komarov said last week that he was now confident enough to raise the price of a Lada from September, while on Monday the group said it was asking staff to work on Saturdays to support higher demand.

Putin told his Vesti-24 interviewer that he was happy with the Lada Kalina, adding that he now thought the state had done enough to ensure that Russia produces high-quality cars.

"I think [the conditions to produce high-quality domestic cars] have been established. The Lada is compact, as you can see, not noisy. Everything works, Glonass works, all systems function," he said, referring to the country's satellite navigation system.

Kommersant reported Monday that the vehicle had to be replaced at one point during the journey after stones got into the gap between the wheel and the tire.

Overall, Russian car sales rose by 45 percent in July following a near halving of the market in 2009.

Groups such as Japan's Nissan and GM's Opel have predicted overall 2010 gains of up to 30 percent this year, while 1.5 million visitors are expected at Russia's annual international motor show.

Interessant ist das die bezahlten Aktienkurse von der MICEX, RTS nach Frankfurt deutlich abfallen. Aktuell nähern sich die Kruse allerdings zunehmend an. Grund ist wohl das Misstrauen der ausländischen Investoren. Die Russen sind da wohl zuversichtlicher . Es bleibt eine Korrektur abzuwarten oder wir springen weiter auf einen fairen Wert. Wo der liegt ist völlig unklar. In die Zukunft geschaut steht AVTOVAZ mit dem Technologietransfer von Renault vor einer fundamentalen Neubewertung. Wenn ab 2011/12 wettbewerbsfähige Modelle vom Band rollen, sind die letzten Kurse vor der Kriese wohl eher keine Orientierung mehr. Zu Erinnerung, diese lagen wohl bei ca. 6,40 € je ADR. Der Kurs kommt allerdings von ca. 120,00 € oder besser 20,00 € vor dem Ausbruch nach oben mit den Lada Modellen.

Bin gespannt und voll dabei. Habe bei 2,50 € nachgekauft. Aktueller Durchschnitt nach Verteuerungskäufen 1,79 € .

Auf die 6 € als nächste Marke! So wie es aussieht wird alles sehr schnell gehen. Wer zu lange überlegt rennt den Kursen nach? Dies ist keine Kaufempfehlung - bin an steigenden Kursen interessiert.

AvtoVAZ is planning to issue new shares to Renault and other shareholders at 58 percent above market levels as part of its restructuring plan, according to documents seen by Reuters.

Under the proposals, France's Renault will get 108.5 million new shares in the Lada maker through the placement at 40.24 rubles ($1.31) per share (entspricht 5,16 € je ADR ), paying for them in technology, according to the documents.

AvtoVAZ shares were up 10.5 percent at 26.13 rubles following the announcement, having risen 17 percent Wednesday in anticipation of the move.

The company, which had to be rescued by the government from going bust last year, agreed on a restructuring agreement in July that included an issue of new shares.

Renault is to take new shares but not increase its stake above the current 25 percent, while state-controlled Russian Technologies would increase its share and Troika Dialog would accept a lower slice.

Renault's new shares would be valued at 4.37 billion rubles ($142.1 million), though an analyst said the high premium for the shares was aimed more at minority shareholders than the French industry giant, which would not be paying in currency.

"I don't think the price is particularly important, as Renault will not contribute cash, only technology. The reason the price is high is so minority shareholders do not take their pre-emptive right [not to be diluted] — they will not buy the new shares at such a high premium," said Renaissance Capital analyst Ivan Kim.

AvtoVAZ, the country's biggest carmaker, was the chief victim of the financial and industry crisis last year but has since enjoyed a sharp, state-backed recovery.

The government awarded a 40 billion ruble bailout amid fears of hundreds of thousands of job losses, launched a cash-for-clunkers program to reward drivers for trading in old cars, and persuaded Renault to pledge its long-term commitment to the group.

Prime Minister Vladimir Putin drove a leg of a 2,000-kilometer journey in a Lada Kalina Sport earlier this week, saying he was very pleased with the experience.
